Terms of Service

1. Definitions

“Service” means the websites lepinguteabi.ee and contractreviewestonia.com and the AI-assisted analysis of contracts governed by Estonian law offered through them.

“User” or “you” means any person who uses or accesses the Service.

“We” or “provider” means Synclex OÜ (registry code 17476899), which operates the Service.

“Report” means the contract risk output generated by the Service, including the free preview and the paid full report.

2. Description of the Service

Synclex OÜ provides an online contract analysis service. The purpose is to help you understand key terms, potential risks, and references to Estonian law (including VÕS, TLS, and AÕS where relevant).

The Service performs automated analysis of contract text. The free preview shows an issue count and short summary; the paid full report provides detailed explanations and statute references.

Analysis usually completes within minutes after upload. We are not a law firm and do not provide individual legal advice.

3. No legal advice

All outputs are AI-generated information only. They do not constitute advice from a lawyer or other legal professional. Consult a qualified Estonian lawyer before signing or making legal decisions.

The provider does not represent you or third parties and does not create an attorney–client relationship.

4. Orders and pricing

The full report is a one-time purchase via Stripe. The net price is €4.99; 24% VAT is added at checkout where applicable (€6.19 total).

Pricing is fixed per contract—not per page or symbol. No subscription or user account is required; results are linked via a secure token.

If the submitted document is unreadable or unsuitable for automated analysis, we may refund payment within 5 business days, subject to bank charges.

5. User obligations

You must submit an accurate, complete contract and select the correct contract type. You must not upload content whose processing would violate law or third-party rights.

You remain responsible for uploaded content. The provider is not liable for harm arising from inaccurate or incomplete information you provide.

6. Data retention

Contract files are processed to deliver the Service and are not stored permanently. Results are kept temporarily in an encrypted session: free preview up to 1 hour, paid report up to 24 hours, then deleted automatically. See the Privacy Policy.

7. Limitation of liability

To the extent permitted by law, Synclex OÜ is liable only for direct property damage caused by gross negligence or wilful misconduct.

We are not liable for lost profits, non-pecuniary harm, or indirect damages. Total liability for one analysis does not exceed the fee you paid for that analysis.

You use the Service at your own risk.

8. Indemnification

You agree to indemnify and hold harmless Synclex OÜ from claims arising from misuse of the Service, breach of these terms, or violation of applicable law by you.

9. Third-party services

The Service uses trusted processors including Stripe for payments, Upstash Redis for temporary result storage, and Anthropic’s Claude API for AI analysis. Their terms and privacy policies apply accordingly.

We are not liable for third-party outages but aim to minimise their impact.

10. Changes to the Service and terms

We may change the Service or pricing. Material changes will be announced on the website with reasonable notice. Updated terms are published on this page with a new date.

Continued use after changes means acceptance of the updated terms.

11. Termination

We may suspend access if you breach these terms or abuse the Service. On termination, your right to use the Service ends.

Provisions that should survive termination (including liability limits) remain in effect.

12. Complaints and disputes

Complaints about the Service should be sent within 5 business days of receiving the report to hello@estoniancontract.review. We respond in writing within 15 days.

13. Governing law

These terms are governed by the laws of the Republic of Estonia. Disputes are resolved in Estonian courts; first instance: Harju County Court, unless mandatory consumer law provides otherwise.

14. Severability and entire agreement

If any provision is invalid, the remainder stays in force. These terms together with the Privacy Policy constitute the entire agreement regarding the Service.
